Terms of Service

Introduction

These Terms of Service (“Terms”) govern your access to and use of the siri9.io website and the products and services provided by Siri9 (“Siri9”, “we”, “us”). By accessing or using the services, you confirm that you have read, understood and agree to be bound by these Terms. If you do not agree, please stop using the services.

Use of the Services

You agree to use the services only for lawful purposes and in accordance with these Terms. You are responsible for ensuring that your use complies with all applicable laws and regulations of Vietnam.

Do not abuse, interfere with, probe or attempt to disrupt our services and infrastructure.
Do not access the services by unauthorised means or beyond the rights granted to you.
Do not upload content that is unlawful, infringes third-party rights or contains malicious code.

Engagements & Deliverables

The scope, timeline, fees and acceptance criteria of each project are defined in a separate statement of work (SOW) or proposal. Those documents, together with these Terms, form the agreement between the parties; in case of conflict, the specific statement of work prevails for the relevant project.

Intellectual Property

Ownership of and licences to deliverables, pre-existing materials and third-party components are governed by the relevant statement of work. Siri9 retains all rights to its know-how, source code, tools and reusable frameworks. The trademarks, logo and content on this website belong to Siri9 and may not be used without prior written consent.

Confidentiality

Each party agrees to protect the other's confidential information, use it only for the purposes of the project and not disclose it to third parties without permission, except as required by law. This obligation is subject to any separate non-disclosure agreement (NDA) between the parties.

Fees & Payment

Fees, invoicing schedule and payment terms are set out in the relevant proposal or statement of work. Late payments may incur interest or charges as permitted by law. Unless otherwise agreed, amounts paid are non-refundable.

Limitation of Liability

To the maximum extent permitted by law, Siri9's total liability arising out of or relating to the services is limited to the fees you paid for the relevant services in the most recent three (3) months, or as stated in the applicable agreement. We are not liable for indirect, incidental or consequential losses.

Termination

Either party may terminate a project in accordance with the terms of the relevant statement of work. We may suspend or terminate access if you breach these Terms. Provisions that by their nature should survive termination (intellectual property, confidentiality, limitation of liability) will continue to apply.

Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Vietnam. Any dispute will first be resolved through good-faith negotiation; failing that, it will be submitted to the competent Court in Ho Chi Minh City, Vietnam.

Changes to These Terms

We may update these Terms from time to time. Updates take effect from the date they are posted on this page. Your continued use of the services after changes constitutes acceptance of the new Terms.
